By using Koda, you agree to these terms. If you don't, don't use the service.
1. The service
Koda is an iOS application provided by [Legal Entity Name] ("Koda," "we," "our," or "us") that helps you organize your calendar, finances, health data, and notes, with optional AI-assisted summaries and chat. The service includes the iPhone app, the supporting backend, and the website at hellokoda.app.
2. Eligibility
You must be at least 13 years old to create an account. By creating an account, you confirm you meet this requirement. If you're under 18, you also confirm a parent or guardian agrees to these terms on your behalf where required by your jurisdiction.
3. Your account
You sign in with Sign in with Apple, which means your account is tied to your Apple ID. You're responsible for activity that happens through your Apple ID. We don't store passwords; we don't have a way to "reset" your account credentials because Apple handles that side.
4. Subscription and billing
Koda has a free tier with limits and a paid subscription that lifts those limits. Subscriptions are sold through the Apple App Store. Apple processes payment, billing, refunds, and renewals according to Apple's terms.
By subscribing, you authorize Apple to charge your Apple ID payment method on each renewal until you cancel. Cancellation must happen through iOS Settings → Apple ID → Subscriptions. Refunds are handled by Apple per their refund policy.
Pricing and feature splits may change. If we change them in a way that affects you, we'll notify you in advance and you can cancel.
5. Acceptable use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract source code from the app or its backend
- Use the service to harass, defame, or harm anyone
- Submit content that infringes anyone else's rights (including content you don't have permission to share with us)
- Interfere with the service's normal operation or attempt to circumvent rate limits or security controls
- Use the service to build a competing product or to train machine learning models on data we provide
6. Your content
You retain all rights to the content you create in Koda (journal entries, notes, transaction memos, etc.). You grant us a non-exclusive, revocable license to process that content as necessary to provide the service to you (storing it, syncing it across your devices, sending enabled categories to Anthropic for AI features).
This license terminates when you delete the content or your account. We don't sell, share, or sublicense your content.
7. AI-generated content
Koda's chat and brief features use Anthropic's Claude API. AI-generated text is provided as-is, may be inaccurate, and is not professional advice (financial, medical, legal, or otherwise). You're responsible for verifying anything an AI suggests before acting on it.
The AI sees only the data categories you've explicitly enabled in Settings → AI access. We make no warranty about the AI's accuracy, helpfulness, or fitness for any particular purpose.
8. Third-party services
Koda integrates with Apple, Plaid, Supabase, and Anthropic. Your use of those services through Koda is also governed by their respective terms and privacy policies. We're not responsible for outages, errors, or policy changes on their side.
Bank connection data is handled by Plaid. If you connect a bank, you also agree to Plaid's end-user terms, presented at connection time.
9. Financial information disclaimer
Koda displays balances, transactions, budgets, and spending patterns. These are not authoritative. Your bank's statements are. Koda is not a substitute for a financial advisor, tax professional, or your own judgment. Don't make material financial decisions based solely on what Koda shows you.
10. Health information disclaimer
Koda surfaces data from Apple's HealthKit. We are not a healthcare provider; the assistant is not giving medical advice. If you have a health question, talk to a doctor.
11. Service availability
We aim to keep the service running but make no guarantee of uptime. Maintenance, third-party outages (Apple, Plaid, Anthropic, Supabase), and your own network conditions can affect availability.
12. Termination
You can stop using Koda anytime by deleting the app and / or deleting your account in Settings. We can suspend or terminate accounts that violate these terms, abuse the service, or that we're legally required to remove. We'll provide reasonable notice unless doing so would cause harm or violate law.
13. Disclaimers
The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from your use of the service is limited to the amount you paid us in the twelve months before the claim arose, or one hundred dollars, whichever is greater.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
15. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your violation of these terms or your use of the service in violation of law or anyone else's rights. We'll cooperate with your defense; you can't settle on our behalf without our written consent.
16. Changes to these terms
We may update these terms. Material changes are announced via an in-app notice and the "last updated" date here changes. Continued use after the update means you accept the revised terms.
17. Governing law
These terms are governed by the laws of Colorado, USA, without regard to conflict-of-law principles. Disputes go to the state and federal courts located in Eagle, Colorado, and you and we consent to that jurisdiction.
18. Severability and entirety
If any part of these terms is unenforceable, the rest stays in effect. These terms together with the Privacy Policy are the complete agreement between you and us about the service.
